A Deal Breaker
J.E: hello?.... Thank you very much, Michael. Send her in
J.E: Hello Nora! Wonderful to see you again. Please take a seat
N. M: Thank you, Jhon. Nice to see you again too.
J.E: Well, let's get down to business, shall we? The project officially begins tomorrow, when you meet Gill Sanderson
N.M: Yes, I've spoken to Gill and if all goes well today, we're meeting at three tomorrow.
J.E: Great! Well, Nora, you've got the contract, and quite honestly, I htink we've made you a reasonable offer. Can we close the deal today?
Will you sign on the dotted line?
N.M: The proposal is very fair, john, as you've said. But there are a few small points I'd like to go over before I sign
J.E: Such as?
N.M: Well, John, first of all the remuneration you've proposed for the project is very fair. The money is excellent. But I mus admint, I do have a problem with the pay schedule. The way you've outlined it in the terms and conditions section, I'll be paid in full only once the proposal is submitted to Yamaguchi. I'd like to be paid 50% in advance.
J.E: Look Nora, I'm going to be honest with you. I understand your position, and I don't want this to be the deal breaker but PGK has the project its own interest as well.
N.M: John, we've known each other for years, and you know I'll work hard to reach our goal. I think you'd certainly agree that what we are forming here is a partnership of sorts...meaning that we are both determined to win this tender.
I don't want anything to be a deal breaker. I really want this job! Can we come to a compromise? Say, 30% of the payment up front and the rest upon completion?
J.E: That sounds reasonable. I think I can agree to that. So ... Have we covered everythiyng?
N.M: Well, actually, John, I also have a problem with the termination clause here... It says that PGK can terminate my contract at any time..
J.E: Oh, of course, that's just a technicality
N.M: If my work is deemed unsatisfactory. Jonh, that seems very vague to me, and I don't want to run the risk of working four hours and then not getting paid the last 70%. I've consulted my lowyer, and he suggested that we should do some changes to the contract.
N: John! Good! I'm glad I've caught you.
Are you going to speak to the solicitor again before the final contract is drawn up?
J: Yes, what is it, Nora?
N: Let's say the deadlines are moved and I find that I can't make them. I'll have to work extra hours, or pay people in my office for tat extra time. What happens then?
J: Well, in the contract there will be a clause that states that if we move your deadlines, we'll reimbourse you for any extra expenses.
N: Now what happens if one of us wants to terminate the contract?
J: We have to give 72 hour`s notice, and you will be paid for all your work up that point. there ar no penalties for cancellation
N: Okay John, that sounds reasonable. Thanks
